1. Who these terms are with

This website is operated by Xiamen Changying Environmental Technology Co., Ltd.（厦门长楹环境科技有限公司）, registered in Xiamen, Fujian Province, People’s Republic of China, trading as Verdigris Garden. By using this website you agree to these terms.

2. What this website is

This website presents our range and lets you request a quotation or apply for a trade account. Nothing on this website is a binding offer to sell. A contract is formed only when we issue a proforma invoice and you accept it.

3. Prices shown here

Retail prices shown to visitors are indicative recommended retail prices. They exclude delivery, duties and taxes unless stated.

Wholesale tiered prices shown to approved trade accounts are indicative and valid for guidance only. Binding prices, lead times, carton specifications and shipping terms are those stated in the proforma invoice we issue for your specific order. Prices are quoted FOB Xiamen unless agreed otherwise.

Import duties and tariffs are the buyer’s responsibility unless the proforma invoice says otherwise. For shipments to the United States this includes any applicable Section 301 tariffs.

4. Trade accounts

Trade accounts are granted at our discretion to businesses that buy for resale. We may ask for evidence of trading status, and we may decline or withdraw access without giving reasons.

Wholesale pricing is confidential. You agree not to publish it, share it outside your organisation, or use it to solicit competing quotations from our suppliers. Account credentials are personal to your organisation and must not be shared.

5. Product information and images

Our pieces are hand-finished, and natural materials vary. Colour, texture and finish will differ slightly between units and from the images shown. Dimensions and weights are nominal and subject to normal manufacturing tolerance. We describe products as accurately as we can, but we do not warrant that every detail is free of error.

6. Acceptable use

You must not:

• use automated tools to scrape prices, images or product data from this website
• attempt to obtain wholesale pricing by misrepresenting who you are
• interfere with the operation or security of the website
• use our images, descriptions or photography without written permission

7. Intellectual property

The Verdigris Garden name, the designs of our collections, and all text and imagery on this website belong to us or our licensors. Approved trade accounts may use our product images to resell our products, and for no other purpose.

8. Liability

We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded. Subject to that, we are not liable for indirect or consequential loss, loss of profit, or loss of business arising from your use of this website.

Liability relating to goods you buy from us is governed by the contract for those goods, not by these website terms.

9. Governing law

These website terms are governed by the laws of the People’s Republic of China. Terms governing the sale of goods, including the governing law and dispute resolution mechanism for orders, are set out in the relevant proforma invoice or sales contract.

We may update these terms. The version in force is the one published here when you use the website.
